Disclosure records

One record of what each prospect received, and when.

When a franchisor, its brokers and its area developers all deliver disclosure documents, each needs the same record of which version went to whom, and when. A private ledger they all run keeps one record nobody can quietly change. An e-signature audit trail is often enough when only head office delivers.

// what matters here

What is different in this industry.

01

Every version labelled

Each version of the document is stored and labelled, so a prospect's receipt points to exactly what they received.

02

A shared record

Delivery fingerprints sit on a ledger with a node for head office and one for each area developer.

03

Reminders, not rulings

Reminders follow the waiting periods your advisers set. The system never decides when a deal can sign.

04

When e-signature is enough

If only head office delivers documents, an e-signature service's audit trail is simpler, and we will say so.

Disclosure delivery record

Hypothetical. Not a client, not a result.

// The problem

A growing franchisor sends its franchise disclosure document to prospects through brokers and area developers, and tracks who received which version, and when, in a spreadsheet.

// What we would build

A portal that delivers each version of your disclosure document to a prospect, records the receipt they sign, and fingerprints the document, version and receipt on a small private ledger run by you and your area developers, so everyone holds the same record of what was delivered and when. An e-signature service's audit trail often does this job; the ledger helps when several parties deliver documents and each needs the same record. Timing rules are for your advisers; we build to the ones they set.

// What is in it

  • Each version of the disclosure document stored and labelled
  • Delivery to a prospect with a signed receipt
  • Document, version and receipt fingerprinted on a private ledger
  • A node for the franchisor and one for each area developer
  • Reminders before a waiting period your advisers set comes to an end
  • Nothing in it gives legal advice or decides when a deal can sign

// Stack

  • Next.js
  • Hyperledger Besu (private, permissioned)
  • PostgreSQL
  • E-signature API
  • DigitalOcean Toronto

// questions

Questions we get about this.

Does the disclosure record tell us if we met provincial franchise law?

No. Your advisers decide that. The record shows what was delivered, to whom and when.

Can brokers deliver disclosure documents through the same portal?

Yes. Each broker or area developer delivers through it, and every delivery lands in the same record.

Is any token involved in the disclosure ledger?

No. It records document fingerprints and receipts only. There is no token and nothing is sold on it.
