Verifiable AGM votes

A tally owners can check, without showing their ballot.

A close vote on a special resolution can split a building. When ballots and the tally are fingerprinted on a ledger the corporation and its manager both run, each owner can check their vote was counted, and nobody can change the record afterwards. A good online voting service with an audit log is often enough; the ledger helps when trust is the problem.

// what matters here

What is different in this industry.

01

Secret and countable

Owners get a receipt that proves their ballot was counted, without showing how they voted.

02

A record nobody can rewrite

Ballot fingerprints and the tally sit on a ledger with a node for the corporation and one for the manager.

03

Quorum and proxies counted

Registration and proxies are counted as people arrive, online or in the room.

04

When an audit log is enough

For routine votes, a voting service with a plain audit log is simpler and cheaper, and we will say so.

AGM votes with a verifiable tally

Hypothetical. Not a client, not a result.

// The problem

A strata corporation's AGM votes are counted by volunteers from paper ballots and proxies, and when a special resolution passes by a few votes, owners ask how they can be sure it was counted right.

// What we would build

Online notices, registration, proxies and secret ballots, with each ballot's fingerprint and the final tally recorded on a small private ledger run by the corporation and its property manager, so each owner can check their vote was counted without showing how they voted. A well-run online voting service with an audit log often does this job; the ledger helps when a contested vote needs a record neither the board nor the vendor can change. Your bylaws and the governing act set the rules; your board confirms them.

// What is in it

  • Notices, agendas and documents sent to every owner or member
  • Registration, proxies and quorum counted as people arrive
  • Secret ballots online or in the room on a tablet
  • Each ballot fingerprinted on a private ledger with a node for corporation and manager
  • Owners check their own vote was counted, without revealing it
  • Results and minutes published to members after the meeting

// questions

Questions we get about this.

Is an online AGM vote valid under our bylaws?

That depends on your bylaws and the governing act, so your board and advisers confirm it. We build to the rules they set.

Can owners who come in person still vote on paper?

Yes. Paper or tablet ballots in the room are entered into the same tally, with the same receipts.

Is there a token or anything for sale on the vote ledger?

No. The ledger records ballot fingerprints and results only. There is no token and nothing is sold on it.
